Referral Partner Agreement

Effective Date: July 1, 2026
Parties: Elite Security Defense LLC ("ESD" or "Company") and the undersigned Partner ("Partner," "you," or "your").

This Referral Partner Agreement ("Agreement") governs your participation in the ESD Referral Partner Program ("Program"). By registering as a Partner, joining the Program, or using the ESD Partner Portal, you agree to be bound by this Agreement.

1. Program Overview

The ESD Referral Partner Program allows approved individuals to earn referral commissions by referring new customers, contractors, and other partners to the ESD Platform. ESD reserves the right to modify, suspend, or terminate the Program at any time with reasonable notice to active Partners.

2. Partner Status

You are an independent referral partner and not an employee, agent, or representative of ESD. You have no authority to bind ESD contractually, enter agreements on ESD's behalf, or make representations regarding ESD's services beyond what is provided in ESD's official marketing materials.

3. Eligibility

To participate in the Program, you must: (a) be at least 18 years of age; (b) complete the registration process and provide accurate and complete information; (c) comply with all applicable laws and regulations, including those governing marketing, advertising, and solicitation; and (d) not be an employee or contractor currently assigned active jobs through the ESD Platform (unless otherwise approved by ESD in writing).

4. Referral Activities

As a Partner, you may promote ESD's services through your unique referral link or sponsor code. You agree to: (a) only promote ESD's services truthfully and accurately; (b) not engage in spam, unsolicited communications, or deceptive marketing practices; (c) comply with all applicable laws, including the CAN-SPAM Act, FTC disclosure requirements, and any applicable state laws governing referral programs; (d) not make claims about compensation, earnings, or business opportunities that are exaggerated, misleading, or not substantiated by ESD's official Program documentation; and (e) disclose your relationship with ESD where required by applicable law or platform policy (e.g., social media disclosures).

5. Commissions and Rewards

ESD will pay you commissions as described in the applicable Package terms associated with your Partner account, as displayed in the Partner Portal. Commission rates are subject to change; ESD will provide at least fourteen (14) days' notice of any reduction in commission rates applicable to future referrals.

Commissions are earned only upon qualifying events as defined in the Platform (e.g., completion of a paid job, a contractor's first completed assignment). Commissions are subject to ESD's verification process. ESD reserves the right to withhold, reverse, or claw back commissions in cases of: (a) fraudulent referrals; (b) self-referrals; (c) referred users who obtain refunds; (d) referrals that violate this Agreement; or (e) chargebacks or payment disputes.

Minimum payout thresholds and payout methods are as set forth in the Partner Portal. ESD is not responsible for any fees charged by payout processors or financial institutions.

6. Prohibited Conduct

You agree not to: (a) create fake accounts or fabricated referrals; (b) refer yourself or family members living in the same household for the purpose of earning commissions; (c) use automated bots or scripts to generate clicks or referrals; (d) impersonate ESD or create materials that could be mistaken for official ESD communications; (e) use paid search advertising that bids on ESD's brand terms without prior written approval; (f) use any marketing channel or tactic that ESD has expressly prohibited in writing; or (g) engage in conduct that, in ESD's sole judgment, is harmful to ESD's brand, reputation, or business relationships.

7. Intellectual Property and Marketing

ESD grants you a limited, non-exclusive, revocable license to use ESD's approved logos, trademarks, and marketing materials ("ESD Brand Assets") solely for the purpose of promoting ESD's services in accordance with this Agreement. You may not modify ESD Brand Assets or use them in any manner not expressly approved. All goodwill generated through use of ESD Brand Assets inures solely to the benefit of ESD.

8. Confidentiality

You agree not to disclose any non-public information regarding ESD's pricing structures, commission rates (other than your own), platform operations, or business relationships to any third party without ESD's prior written consent. This obligation survives termination of this Agreement.

9. Term and Termination

This Agreement is effective upon your acceptance and continues until terminated by either party. ESD may terminate your participation in the Program immediately, without notice, for violations of this Agreement. Upon termination: (a) your referral links and sponsor code will be deactivated; (b) earned commissions that have vested and cleared any applicable hold period will be paid in accordance with normal payout procedures; (c) unearned, pending, or disputed commissions may be forfeited.

10. Limitation of Liability

ESD'S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM. ESD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE PROGRAM OR THIS AGREEMENT.

11. Governing Law

This Agreement is governed by the laws of the State of Florida. Disputes shall be resolved by binding arbitration in Miami, Florida, as set forth in ESD's Terms of Service.
